3. Service Agreements

All projects will be governed by separate service agreements that will include:

In case of conflict between these Terms and a specific service agreement, the service agreement will prevail.

5.2 Payment Methods

• We accept payments via bank transfer, online payment gateways, and checks
• All payments must be made in the currency specified in the invoice
• Payment processing fees, if any, will be borne by the client

5.3 Late Payments

• Late payment charges may apply for overdue invoices
• We reserve the right to suspend services for non-payment
• Continued non-payment may result in termination of services

6. Intellectual Property Rights

6.1 Client-Owned Content

You retain ownership of all content, data, and materials you provide to us. You grant us a license to use such materials solely for the purpose of delivering the agreed services.

6.2 Developed Solutions

Ownership of custom-developed solutions will be specified in the service agreement. Generally:

• Custom code developed specifically for the client becomes client property upon full payment
• Pre-existing tools, frameworks, and methodologies remain our property
• Third-party components are subject to their respective licenses

6.3 Company Intellectual Property

All proprietary methodologies, tools, templates, and know-how developed by ANGAD EXCH remain our intellectual property.

7. Confidentiality

Both parties agree to maintain confidentiality of all proprietary and sensitive information shared during the course of the business relationship. This includes:

• Business strategies and plans
• Technical specifications and designs
• Financial information
• Customer data and personal information
• Any information marked as confidential

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that our services will be performed with professional skill and care in accordance with industry standards. However, we do not guarantee that our services will meet all your requirements or be error-free.

8.2 Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL ANGAD EXCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE THAT GAVE RISE TO THE LIABILITY.

10. Data Protection and Privacy

We are committed to protecting your privacy and personal data in accordance with applicable data protection laws. Please refer to our Privacy Policy for detailed information about how we collect, use, and protect your data.

11. Termination

11.1 Termination by Either Party

Either party may terminate ongoing services with 30 days' written notice. Termination does not affect payment obligations for services already provided.

11.2 Immediate Termination

We may terminate services immediately if:

• You breach these Terms or the service agreement
• You fail to make payments when due
• You engage in illegal or unethical activities
• Continuing the relationship would violate applicable laws

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government regulations.

13. Dispute Resolution

13.1 Negotiation

In the event of any dispute, the parties agree to first attempt resolution through good faith negotiations.

13.2 Mediation and Arbitration

If negotiation fails, disputes will be resolved through mediation, and if necessary, binding arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act.

13.3 Jurisdiction

These Terms shall be governed by the laws of India, and the courts of Delhi shall have exclusive jurisdiction over any disputes.

14. Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated to clients via email or website notification at least 30 days before taking effect. Continued use of our services after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

16. Entire Agreement

These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and ANGAD EXCH regarding the subject matter herein.
